1. Introduction
These Terms and Conditions (“Terms”) govern your access to and use of Projectous (the “Service”), a project, client, and agency management platform provided by Techaround.net Inc (“Projectous,” “we,” “us,” or “our”), including our website located at projectous.com, our web application at app.projectous.com, and any related mobile applications (collectively, the “Platform”).
By creating an account, starting a free trial, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, do not use the Service.
2. Description of Service
Projectous provides tools to help agencies, freelancers, and teams manage client work, including project and task management, time tracking, invoicing, client and guest portals, team chat, contracts, a password vault, reporting, and integrations with third-party services such as QuickBooks. Features available to you depend on your selected subscription plan.
We may add, modify, or discontinue features of the Service at any time, with or without notice, provided that any material reduction in features for paid subscribers will be communicated in advance where reasonably possible.
3. Accounts and Eligibility
- You must be at least 18 years old and able to form a binding contract to use the Service.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
- You agree to provide accurate, current, and complete information when creating your account and to keep that information up to date.
- You must notify us promptly of any unauthorized use of your account or any other breach of security.
- Accounts may include multiple roles (admins, users, clients, and guests). The account owner is responsible for all activity by users, clients, and guests invited under that account, and for ensuring those individuals comply with these Terms.
4. Subscription Plans, Free Trials, and Payment
- Free Trial. We may offer a free trial period. At the end of the trial, your account may convert to a paid subscription unless you cancel before the trial ends, or as otherwise described at signup.
- Subscription Tiers. The Service is offered under various subscription tiers (e.g., Freelancer/Starter, Agency, Agency+), each with different limits on admins, users, storage, and features, as described on our Pricing page. Plan details, pricing, and included features are subject to change with notice.
- Billing. Subscriptions are billed monthly or annually, as selected at signup. By subscribing, you authorize us (or our payment processor) to charge your designated payment method on a recurring basis until you cancel.
- Add-Ons. Certain plans allow additional admins or users at an additional cost, as described on our Pricing page.
- Taxes. Fees do not include applicable taxes unless stated otherwise; you are responsible for any applicable taxes.
- Cancellation. You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. Except as required by law or expressly stated otherwise, fees are non-refundable.
- Failure to Pay. We may suspend or terminate access to the Service if payment is not received when due.
5. Client and Guest Access
Projectous allows account owners to invite clients, guest users, and partner agencies into projects. If you invite third parties to access your account:
- You are responsible for determining what data, projects, and features those third parties can view or access.
- You represent that you have all necessary rights and permissions to invite such third parties and to share any related data with them.
- Partner agencies you invite to collaborate on client projects may retain their own rates and data separately, as described in the Service’s collaboration features; Projectous is not responsible for the accuracy of data entered by third parties you invite.
6. Your Data and Content
- Ownership. As between you and Projectous, you retain ownership of all data, files, messages, and other content you or your users, clients, or guests submit to the Service (“Customer Data”).
- License to Us. You grant Projectous a limited license to host, store, process, and display Customer Data solely as necessary to provide and improve the Service.
- Data Separation. Each customer’s account data is logically separated from other customers’ data.
- Password Vault. Certain password or credential storage features may use client-side encryption, meaning such data is encrypted before it is transmitted to our servers. You are responsible for any credentials or sensitive data you choose to store in the Service, and for maintaining your own backups where appropriate.
- Third-Party Integrations. The Service may integrate with third-party tools (such as QuickBooks). Your use of any third-party integration is subject to that third party’s own terms and privacy policy, and we are not responsible for the acts or omissions of third-party providers.

7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation;
- Upload or transmit any content that infringes the intellectual property or privacy rights of others;
- Attempt to gain unauthorized access to any part of the Service, other accounts, or related systems or networks;
- Interfere with or disrupt the integrity or performance of the Service;
- Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law;
- Use the Service to send spam, malware, or other harmful code;
- Resell, sublicense, or provide the Service to third parties as a bureau or service, except as expressly permitted for client/guest/partner access under Section 5.
We reserve the right to suspend or terminate accounts that violate this section.
8. Intellectual Property
The Service, including its software, design, trademarks, logos, and all related intellectual property, is owned by Techaround.net Inc or its licensors and is protected by applicable intellectual property laws. Except for the limited rights expressly granted to you to use the Service, no rights are transferred to you under these Terms.
9. Fees for Services Rendered Through the Platform
Projectous may enable you to invoice your own clients, track time for billing, or process payments to workers or contractors through the Platform or integrated third-party payment processors. Projectous is not a party to the underlying agreements between you and your clients, workers, or contractors, and is not responsible for disputes, non-payment, or the accuracy of amounts billed or paid through those third-party arrangements.
10. Termination
- You may stop using the Service and cancel your account at any time.
- We may suspend or terminate your access to the Service, in whole or in part, if you breach these Terms, fail to pay applicable fees, or if we reasonably believe your use poses a risk to the Service, other users, or Projectous.
- Upon termination, your right to use the Service will cease. We may retain or delete Customer Data in accordance with our Privacy Policy and applicable data retention obligations.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DATA WILL NOT BE LOST OR CORRUPTED.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHAROUND.NET INC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
13. Indemnification
You agree to indemnify and hold harmless Techaround.net Inc and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your Customer Data, or your violation of these Terms or applicable law.
14. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice (such as by email or an in-app notice) before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the revised Terms.
15. Governing Law and Disputes
These Terms are governed by the laws of the State of Florida, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, unless otherwise required by applicable law.
16. Miscellaneous
- Entire Agreement. These Terms, together with our Privacy Policy and any order forms or plan terms referenced at signup, constitute the entire agreement between you and Projectous regarding the Service.
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect.
- No Waiver. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
